Acceptable Use Policy

This Acceptable Use Policy ("AUP") defines the standards and requirements for appropriate use of the Contractra platform, website, and related services ("Services"). This AUP is incorporated by reference into our Terms and Conditions. By using our Services, you agree to comply with this policy.

1. Purpose and Scope

This policy applies to all users, administrators, and authorized parties who access or use Contractra Services, including but not limited to subscribers, their employees, contractors, and any third parties granted access through the platform.

2. Permitted Use

Contractra is designed exclusively for legitimate business contract management purposes. Permitted uses include:

  • Storing, organizing, and managing executed business contracts and agreements
  • Tracking contract renewal dates, expiration deadlines, and obligation milestones
  • Collaborating with authorized team members on contract review and approval workflows
  • Generating reports on contract portfolio performance and compliance status
  • Managing vendor, customer, and partner agreement repositories
  • Any other activities consistent with legitimate enterprise contract management operations

3. Prohibited Activities

3.1 Illegal Activities

You may not use our Services to:

  • Store or process contracts that facilitate illegal transactions or activities
  • Engage in fraud, money laundering, or financial crimes
  • Violate applicable laws, regulations, or court orders
  • Infringe on the intellectual property, privacy, or other rights of third parties
  • Store content that is defamatory, obscene, or otherwise unlawful

3.2 Security Violations

You may not:

  • Attempt to gain unauthorized access to our systems, infrastructure, or other users' accounts
  • Conduct penetration testing or vulnerability scanning without our express written consent
  • Introduce malware, viruses, worms, Trojan horses, or other malicious code
  • Circumvent, disable, or interfere with security features, access controls, or authentication systems
  • Use the Services to conduct denial-of-service or distributed denial-of-service attacks
  • Harvest or scrape user data, account information, or platform content

3.3 Platform Abuse

You may not:

  • Reverse engineer, decompile, disassemble, or create derivative works from our software
  • Access our Services through automated means in ways that exceed normal, intended usage patterns
  • Use the platform to transmit spam, unsolicited communications, or bulk messaging
  • Impersonate any person, organization, or entity in connection with platform use
  • Resell, sublicense, or commercially exploit platform access without written authorization
  • Use the Services to compete with Contractra or develop competing products

3.4 Content Restrictions

You may not upload, store, or transmit through our Services:

  • Content that violates any applicable law or regulation
  • Documents that infringe third-party intellectual property rights
  • Personally identifiable information of individuals without appropriate legal basis
  • Content containing hate speech, discrimination, or material promoting violence
  • Classified government information or controlled technical data without authorization

4. Data Responsibility

As the subscriber and data controller, you are responsible for ensuring that your use of Contractra to process personal data complies with applicable privacy laws (including GDPR, CCPA, and other regional regulations). This includes ensuring you have appropriate legal basis to upload and process any personal data contained within contracts stored on our platform.

5. Account Sharing and Access

Subscription licenses are granted to the named organization and may not be shared with parties outside the subscribing organization without our express written approval. You are responsible for managing user access within your organization and ensuring all users comply with this AUP.

6. Resource Usage

You agree to use platform resources in a reasonable manner consistent with your subscription plan. Excessive usage that materially impacts platform performance for other users may result in throttling or, in extreme cases, account suspension pending resolution.

7. Monitoring and Enforcement

Contractra reserves the right to monitor platform usage patterns (but not contract content) to ensure compliance with this AUP. We may investigate potential violations and take appropriate action, including:

  • Issuing a written warning for first-time minor violations
  • Temporarily suspending access pending investigation of serious violations
  • Permanently terminating accounts for confirmed material violations
  • Reporting illegal activities to appropriate law enforcement authorities

We will provide notice before taking enforcement action where legally permissible and practical.

8. Reporting Violations

If you become aware of any use of our Services that violates this AUP, please report it to us at support@contractra.io with relevant details. We take all reports seriously and will investigate promptly.

9. Updates to This Policy

We may update this AUP periodically to reflect changes in our Services, legal requirements, or industry best practices. Material changes will be communicated to subscribers with at least 30 days' advance notice. Continued use of our Services constitutes acceptance of updated policies.
